Terms of Sale

These Terms of Sale (hereinafter "Terms") govern the services marketed under the Catalia brand by Designta (EURL): AI audit, consulting, training, keynote, and coaching. The publisher's complete identity is provided in the Legal notice.
The Terms apply to any professional client (hereinafter "the Client"), legal entity or natural person acting in the course of their professional activity, from the acceptance of a quote or training agreement. Catalia does not operate with consumers within the meaning of the French Consumer Code.
1. Purpose
The Terms define the conditions of sale and performance of services delivered by Designta under the Catalia brand: keynotes and webinars, in-person or remote training, leadership-team workshops, executive coaching, AI audit, diagnostic, consulting, and strategic support.
2. Quote and contract formation
Catalia does not practice online sales. Every service is preceded by an exchange and a detailed quote sent to the Client. The contract is formed upon return of the dated, signed quote with the words "good for agreement" ("bon pour accord").
For training actions, a professional training agreement compliant with articles L. 6353-1 and L. 6353-3 of the French Labor Code is established before the start, along with a detailed program specifying pedagogical objectives, prerequisites, target audience, methods mobilized, duration, and evaluation modalities.
3. Price and payment
Prices are stated in euros excluding tax in the quote; the applicable VAT is specified. Unless otherwise stated in the quote, payment terms are as follows:
- 30% deposit at signing, balance at the end of the service, by bank transfer at 30 days from invoice date.
- If the service is funded by an OPCO or third-party funder, the Client remains responsible for payment in case of refusal, withdrawal, or partial coverage by the funder.
Any payment delay triggers, in accordance with article L. 441-10 of the French Commercial Code, late payment penalties at the ECB rate plus 10 points and a flat-rate indemnity of €40 for recovery fees.
4. Performance modalities
Services are performed on the dates and according to the modalities defined in the quote or agreement. For training actions, Designta delivers at the end of the service a training completion certificate in accordance with article L. 6353-1 of the French Labor Code, as well as a realization certificate when funding goes through an OPCO. Attendance sheets and evaluations are kept in compliance with legal retention periods.
5. Cancellation and postponement
In case of cancellation by the Client, the following conditions apply:
- Cancellation more than 30 days before the start of the service: full refund of sums paid, excluding costs already engaged on supporting documents.
- Cancellation between 30 and 15 days: 50% of the service price is due.
- Cancellation less than 15 days: 100% of the service price is due.
Designta reserves the right to cancel or postpone a service in case of force majeure or insufficient number of participants. In this case, the Client is fully refunded or may postpone their participation to a later session, without penalty.
6. Complaints, quality, and accessibility
Any complaint related to a service may be sent by email to matt@catalia.fr. Designta commits to acknowledging receipt within five (5) business days and to providing a reasoned response within thirty (30) days.
Designta pays particular attention to the accessibility of services to persons with disabilities. The Client is invited to signal any accommodation need from the quote phase so Designta can study possible adaptations or direct the Client to an appropriate resource. 7. Force majeure
Neither party's liability may be engaged in case of force majeure within the meaning of article 1218 of the French Civil Code. The prevented party informs the other as soon as possible and the parties jointly seek a solution (postponement, adaptation, cancellation without penalty).
8. Intellectual property of teaching materials
Teaching materials, methodological documents, and documents handed over in the course of services remain the exclusive property of Designta. The Client obtains an internal usage right for training and personal reference purposes. Any reproduction, distribution, public availability, or commercial use without Designta's prior written authorization is prohibited and constitutes an act of infringement. 9. Confidentiality
Designta commits to preserving the confidentiality of information communicated by the Client in the course of service performance. Personal data processing modalities are described in the Privacy policy.
10. Liability
Designta commits to delivering services according to professional best practices. Its liability is limited to direct damages and capped at the total amount paid by the Client for the relevant service. Designta cannot be held liable for indirect damages (loss of operation, loss of revenue, image damage, etc.).
11. Governing law and disputes
These Terms are governed by French law. Failing amicable resolution, disputes are submitted to the competent courts of the jurisdiction of Designta's registered office (Clermont-Ferrand).
