Terms of Sale

These Terms of Sale (the "Terms") govern the services sold under the Catalia brand by Designta (EURL): AI audit, consulting, training, keynotes, and coaching. The publisher's full identity is set out in the Legal notice.
The Terms apply to any business client (the "Client"), whether a legal entity or an individual acting for business purposes, from the moment a quote or training agreement is accepted. Catalia does not deal with consumers within the meaning of the French Consumer Code.
1. Purpose
The Terms set out the conditions for the sale and delivery of the services Designta provides under the Catalia brand: keynotes and webinars, in-person or remote training, leadership-team workshops, executive coaching, AI audit, AI diagnostic, consulting, and strategic guidance.
2. Quotes and formation of the contract
Catalia does not sell online. Every engagement begins with a prior discussion and a detailed quote sent to the Client. The contract is formed once the Client returns the quote dated, signed, and marked "bon pour accord" (approved).
For training programs, a professional training agreement that complies with articles L. 6353-1 and L. 6353-3 of the French Labor Code is drawn up before the program begins, together with a detailed syllabus setting out the learning objectives, prerequisites, target audience, methods used, duration, and assessment methods.
3. Price and payment
Prices are quoted in euros, before tax, in the quote, and the applicable VAT is shown. Unless the quote states otherwise, payment terms are as follows:
- A 30% deposit on signing, with the balance due at the end of the engagement, by bank transfer within 30 days of the invoice date.
- Where the service is funded by an OPCO or another third-party funder, the Client remains liable for payment if the funder declines, withdraws, or covers only part of the cost.
Under article L. 441-10 of the French Commercial Code, late payment incurs interest at the ECB rate plus 10 percentage points, together with a fixed recovery-cost charge of €40.
4. Delivery of services
Services are delivered on the dates and in the manner set out in the quote or agreement. For training programs, Designta issues a training completion certificate at the end of the program in accordance with article L. 6353-1 of the French Labor Code, together with a certificate of completion ("certificat de réalisation") where the program is funded through an OPCO. Attendance sheets and assessments are kept for the periods required by law.
5. Cancellation and postponement
If the Client cancels, the following terms apply:
- Cancellation more than 30 days before the service begins: a full refund of amounts paid, less any costs already incurred (on production of supporting documents).
- Cancellation between 30 and 15 days before: 50% of the service price is payable.
- Cancellation less than 15 days before: 100% of the service price is payable.
Designta may cancel or postpone a service in the event of force majeure or too few participants. If it does, the Client receives a full refund or may move to a later session at no charge.
6. Complaints, quality, and accessibility
Any complaint about a service may be sent by email to matt@catalia.fr. Designta will acknowledge receipt within five (5) business days and provide a reasoned reply within thirty (30) days.
Designta pays close attention to making its services accessible to people with disabilities. Clients are encouraged to flag any accessibility requirement as early as the quote stage, so that Designta can look into possible adjustments or point the Client to a suitable resource. 7. Force majeure
Neither party shall be liable in the event of force majeure within the meaning of article 1218 of the French Civil Code. The affected party will inform the other as soon as possible, and the parties will work together on a solution (postponement, adjustment, or cancellation at no charge).
8. Intellectual property of course materials
The course materials, methodology, and documents provided as part of the services remain the exclusive property of Designta. The Client is granted the right to use them internally, for training and personal reference. Any reproduction, distribution, public sharing, or commercial use without Designta's prior written consent is prohibited and constitutes infringement. 9. Confidentiality
Designta will keep confidential any information the Client shares in the course of delivering the services. How personal data is processed is described in the Privacy policy.
10. Liability
Designta will deliver its services with professional skill and care. Its liability is limited to direct loss and capped at the total amount the Client paid for the service concerned. Designta is not liable for indirect loss (loss of business, loss of revenue, reputational harm, and the like).
11. Governing law and disputes
These Terms are governed by French law. Failing an amicable settlement, disputes will be submitted to the courts having jurisdiction over Designta's registered office (Clermont-Ferrand).
